1. Agreement to Terms

By accessing or using Bidflow ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

Bidflow provides a platform for tracking and scoring government contract opportunities from SAM.gov and USASpending.gov. The Service includes opportunity matching, alerts, market intelligence, and pipeline management tools.

3. Subscription and Billing

Free Trial: New users receive a 14-day free trial. You must provide payment information to start the trial. You will not be charged during the trial period.

Paid Subscription: After the trial, you will be charged $99 per month unless you cancel before the trial ends. Subscriptions automatically renew monthly.

Payment Processing: All payments are processed securely through Stripe. By subscribing, you agree to Stripe's terms of service.

Cancellation: You may cancel your subscription at any time through your account settings. Cancellations take effect at the end of the current billing period. No refunds for partial months.

4. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You must provide accurate, current, and complete information during registration and keep your account information updated.

5. Acceptable Use

You agree not to:

Use the Service for any illegal purpose
Attempt to gain unauthorised access to the Service or related systems
Interfere with or disrupt the Service
Scrape, spider, or harvest data from the Service using automated means
Share your account credentials with others
Resell or redistribute the Service without permission

6. Data and Intellectual Property

Your Data: You retain all rights to the data you input into the Service (contractor profiles, saved opportunities, etc.).

Our Content: The Service, including all software, text, displays, and other materials, is owned by Bidflow and protected by copyright and other intellectual property laws.

Government Data: Opportunity data sourced from SAM.gov and USASpending.gov is public domain information provided by the U.S. government.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not guarantee the accuracy, completeness, or timeliness of opportunity data. Government data sources may contain errors or omissions beyond our control.

8. Limitation of Liability

IN NO EVENT SHALL BIDFLOW BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, OR LOST OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

Our total liability to you for all claims arising from your use of the Service shall not exceed the amount you paid us in the twelve (12) months prior to the claim.

9. Indemnification

You agree to indemnify and hold Bidflow harmless from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service or violation of these Terms.

10. Termination

We may terminate or suspend your access to the Service immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use the Service will immediately cease.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the Service. Your continued use of the Service after changes constitute acceptance of the new Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. Any disputes shall be subject to the exclusive jurisdiction of the state and federal courts located in California.
